These Terms of Service (“Terms”) govern your access to and use of CoExyst, including our websites, web apps, mobile apps, APIs (if any), and related services (collectively, the “Service”).

By creating an account or using the Service, you agree to:

1) Who we are

4) Eligibility and regional availability

4.1 Minimum age

You must be at least 18 years old.

4.2 Authority and capacity

You represent you have full legal capacity to enter into these Terms and to comply with them.

4.3 EEA / UK / Switzerland (not offered)

The Service is operated from Australia and is not directed to, and not intended for, people located in the European Economic Area (EEA), the United Kingdom, or Switzerland. We may restrict access from these regions and may suspend or delete accounts created from these regions.

4.4 Sanctions and export controls

You must not use the Service if you are subject to sanctions or export restrictions that prohibit use of the Service, or if providing the Service to you would violate applicable law.


5) Accounts, security, and communications

5.1 Accurate information

You must provide accurate information and keep it current.

5.2 Account security

You are responsible for safeguarding your credentials and for all activity under your Account.

5.3 Device biometrics

If you enable biometric unlock (Face ID/Touch ID), it is handled by your device and operating system. We do not receive or store your biometric templates.

5.4 Electronic communications

You consent to receive electronic communications from us (for example: service announcements, security notices, policy updates). We may deliver communications through the Service and/or to your email.


6) What the Service does (and does not do)

6.1 Household organisation tools

The Service provides household collaboration tools such as messages, photos, tasks, lists, reminders, bills, allocations, and balance tracking.

6.2 Not financial, legal, tax, or mediation services

We are not a bank, payment processor, escrow, money remitter, debt collector, credit provider, financial adviser, tax adviser, or legal mediator.

Any balances, allocations, “owed” amounts, or settlement suggestions are informational tools only. Any financial obligations are solely between users.

6.3 User-to-user disputes

We do not guarantee outcomes in disputes between users and are not responsible for offline conduct. You are responsible for your own decisions and actions.


7) Houses, roles, and permissions

7.1 Joining Houses

When you join a House, other House members may be able to see information you contribute to that House depending on settings, permissions, and masking rules.

7.2 House Admin powers

House Admins may manage membership, settings, and certain data within their House. We are not responsible for House governance decisions.

7.3 House address

A House may store an address if a member enters it. You are responsible for ensuring you have permission to share any address data with House members.


8) Policy acceptance, versions, and audit records

8.1 Clickwrap acceptance

We may require affirmative clickwrap acceptance (for example: scroll to bottom, tick a checkbox, press “Agree”). This is the method we use to establish you accepted the Policies.

8.2 Audit record

We may record evidence of acceptance, including policy type, version, content hash, timestamp (UTC), IP address, user agent, and an inferred country indicator.

8.3 Updates and re-consent

We may publish updated Policies. Prior acceptances remain stored as immutable records. For material changes, we may require you to re-accept before continuing to use the Service.


9) User Content and user-generated content protections

9.1 Ownership

You retain ownership of your User Content. You must have the rights necessary to submit it.

9.2 Licence you grant to us

You grant us a non-exclusive, worldwide, royalty-free, sublicensable licence to host, store, reproduce, process, modify (for formatting/technical purposes), display, and distribute your User Content only as necessary to:

You are solely responsible for your User Content and interactions with other users. You represent that your User Content:

9.4 Complaints, review, and enforcement

You acknowledge that content posted in messages or elsewhere may be reviewed by us for complaint handling, safety, fraud prevention, or enforcement of these Terms and the Community Guidelines. We may take action including restricting or removing content, limiting features, suspending accounts, terminating accounts, and contacting authorities where legally required or appropriate.

We are not obligated to monitor all content and do not guarantee removal of any specific content.


10) Intellectual property

11) Paid features, trials, and billing

Paid features may require a subscription. Billing is processed by third parties (e.g., Stripe). Subscription terms are in SUBSCRIPTION_POLICY.md.


12) Third-party services

The Service may integrate with third-party services (e.g., payment processing). Third-party services are governed by their own terms and policies. We are not responsible for third-party services. See THIRD_PARTY_NOTICES.md.


13) Availability, changes, and discontinuation

The Service is provided “as is” and “as available”. We may modify, suspend, limit, or discontinue the Service at any time. You are responsible for exporting or backing up any data you need.

We are not liable for delays or failures caused by events outside our reasonable control (force majeure), including outages of hosting providers, payment processors, networks, natural disasters, government actions, or cyber incidents.


14) Suspension, termination, and deletion

You may stop using the Service at any time and may request deletion via support@coexyst.app. Some data may be retained as described in PRIVACY_POLICY.md and DATA_RETENTION_AND_DELETION_POLICY.md.

We may suspend or terminate access if we reasonably believe you breached these Terms/Policies or pose a security, safety, or fraud risk.


15) Disclaimers

To the maximum extent permitted by law:

Nothing excludes any non-excludable consumer guarantees under Australian Consumer Law.


16) Limitation of liability

To the maximum extent permitted by law:

Nothing limits liability where it cannot be limited under law.


17) Indemnity

You agree to indemnify and hold harmless SHAUN MICHAEL HODGKINSON from claims and expenses (including reasonable legal fees) arising from your use, User Content, breach of these Terms, or violation of law/rights.


18) Governing law (Australia)

Except as set out in the US Arbitration section below, these Terms are governed by the laws of Queensland, Australia.


19) United States: dispute resolution, arbitration, and class action waiver

Applies only if you are a US resident or use the Service while located in the US.
